Please read these Terms of Service ("Terms") carefully before using the website virtu360.com or engaging any services provided by Virtu 360 ("Company", "we", "us", or "our"). By accessing our website or entering into a service agreement with us, you ("Client", "you") agree to be bound by these Terms.

The specific scope, deliverables, timelines, and pricing for each project are agreed upon in a separate written project proposal or service agreement between Virtu 360 and the Client.
All projects begin with a written proposal outlining the scope of work, deliverables, timeline, and pricing. A project is formally initiated only upon:
Virtu 360 reserves the right to decline any project request at its sole discretion without obligation to provide reasons.
To enable Virtu 360 to deliver quality work on time, the Client agrees to:
Delays caused by the Client's failure to provide materials or approvals on time may result in revised delivery timelines and may incur additional fees.
Unless otherwise agreed in writing:
All prices are exclusive of applicable taxes (VAT, GST, etc.) unless explicitly stated otherwise. The Client is responsible for any applicable taxes in their jurisdiction.
Each project proposal includes a defined number of revision rounds. Additional revisions beyond this scope will be billed at our standard hourly or day rate, communicated in advance.
A revision is defined as minor changes to an approved concept (e.g., color adjustments, text changes, minor layout modifications). Requests that substantially change the approved direction, scope, or deliverables constitute a new or expanded scope of work and will be quoted separately.
Upon receipt of full payment, the Client receives a non-exclusive, perpetual license to use the final delivered assets for the purposes agreed in the project scope.
Virtu 360 agrees to keep confidential any proprietary or sensitive business information shared by the Client in the course of a project, and not to disclose such information to third parties without prior written consent. This obligation survives termination of the project or agreement.
Clients may request a Non-Disclosure Agreement (NDA) prior to sharing sensitive project details. We are happy to accommodate reasonable NDA requests.
By the Client: The Client may cancel a project at any time with written notice. The initial deposit is non-refundable. If cancellation occurs after additional work has been completed beyond the deposit stage, the Client will be invoiced for work completed up to the date of cancellation, pro-rated against the total project value.
By Virtu 360: We reserve the right to terminate a project if: the Client breaches these Terms; payment is significantly overdue; or the project conditions make it impossible or unreasonably difficult to continue. In such cases, work completed will be invoiced and the Client forfeits the right to receive incomplete deliverables.
Virtu 360 represents that:
We do not warrant that deliverables will be error-free, or that any particular business outcome (such as increased sales) will result from the use of our services.
To the fullest extent permitted by applicable law, Virtu 360's total liability to the Client for any claim arising from or related to a project shall not exceed the total fees paid by the Client for that specific project.
In no event shall Virtu 360 be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.
The Client agrees to indemnify, defend, and hold harmless Virtu 360, its team members, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from: (a) the Client's use of our deliverables; (b) materials or content supplied by the Client; (c) the Client's breach of these Terms; or (d) the Client's violation of any applicable law or third-party rights.

These Terms shall be governed by and construed in accordance with the laws of Morocco. Any dispute arising from or related to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the competent courts of Casablanca, Morocco.
Virtu 360 reserves the right to update these Terms at any time. Changes will be effective upon posting to this page with an updated "Last updated" date. For ongoing projects, the Terms in effect at the time the project proposal was accepted shall govern that project unless both parties agree to updated Terms in writing.
These Terms, together with any project proposal, statement of work, or service agreement signed between the parties, constitute the entire agreement between you and Virtu 360 regarding the subject matter herein, and supersede all prior discussions, representations, or agreements.
